These Terms of Service ("Terms") govern your access to and use of the website governortechnologies.com (the "Site"), operated by Governor Technologies Inc. ("Governor," "we," "us" or "our"). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy.

1. Scope of These Terms

These Terms apply to the Site: its pages, content and the inquiry form it provides. They do not govern the delivery or use of Governor AI, Governor Server Management, Governor Server Sentinel, Governor VM Control, RansomShield or any other Governor product or service. Those are provided only under separate written agreements negotiated with each client, which take precedence over these Terms for the matters they cover.

If you do not agree to these Terms, please do not use the Site.

2. The Site and Its Content

The Site describes Governor Technologies Inc., its products, its pilot programme and its research initiatives. Product descriptions and status labels reflect our products as they exist at the date of the last update. They are provided for information and do not constitute an offer, a warranty, a specification or a commitment to deliver any feature, capability or result.

3. Acceptable Use

You may use the Site for lawful purposes only. You agree not to:

• Attempt to gain unauthorized access to the Site, its hosting infrastructure or any related system
• Interfere with or disrupt the operation, integrity or availability of the Site
• Use the inquiry form to send unsolicited commercial messages, malicious content or false or misleading information
• Use automated means to scrape, harvest or collect content or information from the Site except as permitted by our robots directives
• Use the Site in any way that violates applicable law or infringes the rights of others

4. Inquiries and Communications

When you submit an inquiry through the Site or contact us by email, you confirm that the information you provide is accurate and that you are authorized to provide it. We will use it as described in our Privacy Policy. Submitting an inquiry does not create a contractual relationship, an obligation on our part to respond within a particular time, or any confidentiality obligation beyond those described in our Privacy Policy, unless we subsequently agree otherwise in writing.

5. Intellectual Property

The Site and its content, including text, graphics, logos, designs, illustrations and code, are the property of Governor Technologies Inc. or its licensors and are protected by Canadian and international intellectual property laws. "Governor," "Governor AI," "LawGuard," "Governor Lock," "RansomShield" and the Governor Technologies logo are marks of Governor Technologies Inc.

You may view, download and print pages of the Site for your own internal, non-commercial reference. You may not otherwise copy, modify, distribute, publish, sell or create derivative works from the Site or its content, or use our marks, without our prior written permission.

6. Third-Party Services and Links

The Site is hosted by a third-party provider and its inquiry form is delivered through that provider's form service. The Site may also contain links to third-party websites. We are not responsible for the content, availability, privacy practices or terms of any third-party service or website, and a link does not imply endorsement.

7. Data Residency

Governor Technologies Inc. is based in Canada. Submissions made through the Site are received through our hosting and form-delivery provider, whose infrastructure may be located outside Canada. Correspondence and records that we hold directly are stored in Canada where practicable. Personal information in our custody remains subject to Canadian privacy law, including PIPEDA, regardless of where a service provider processes it. This section is intended to be consistent with Section 4 of our Privacy Policy; if there is any conflict, the Privacy Policy governs the handling of personal information.

8. Disclaimer of Warranties

The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the Site will be uninterrupted, timely, secure or error-free, or that any information on it is complete or current.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Governor Technologies Inc. and its directors, officers, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of or inability to use the Site, even if advised of the possibility of such damages.

Because the Site is provided free of charge, our total liability for any claim arising out of or relating to the Site or these Terms shall not exceed one hundred Canadian dollars (CAD 100). Some jurisdictions do not allow certain limitations of liability; in those jurisdictions our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless Governor Technologies Inc. and its directors, officers, employees and agents from any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of your violation of these Terms, your violation of applicable law or the rights of any third party, or your misuse of the Site.

11. Changes to the Site and to These Terms

We may change, suspend or discontinue any part of the Site at any time without notice. We may also revise these Terms from time to time. The revised Terms take effect when posted on the Site with an updated "Last updated" date, and your continued use of the Site after that date constitutes acceptance of the revised Terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree that the courts of the Province of Ontario have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you submit to the jurisdiction of those courts. Before starting legal proceedings, the parties agree to attempt in good faith to resolve the dispute by negotiation for a period of thirty (30) days.

13. Export Control

Information on the Site, and any technical information we may provide in response to an inquiry, may be subject to Canadian export control laws and regulations. You agree to comply with all applicable export and import laws.

14. General

Entire agreement: these Terms and the Privacy Policy constitute the entire agreement between you and Governor Technologies Inc. regarding the Site and supersede any prior understanding on that subject. They do not alter any separate written agreement you may have with us.

Severability: if any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

No waiver: our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

Language: these Terms are written in English. A French version may be provided for convenience; in case of inconsistency, the English version prevails unless applicable law requires otherwise.
