Legal Terms and Conditions for Governor AI
These Terms of Service ("Terms") govern your access to and use of Governor AI, a governance platform provided by Governor Technologies Inc. ("Governor," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

By accessing or using Governor AI, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.
We reserve the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of the modified Terms.
Governor AI provides an AI governance platform that implements supervised autonomy principles, ensuring human oversight of automated processes. Our services include:
Service Availability: We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance.
Account Creation: You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials.
Authorized Use: You may only use Governor AI for lawful purposes and in accordance with these Terms. You agree not to:
Account Termination: We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.
Your Data: You retain all ownership rights to data you input into Governor AI. By using our services, you grant us a limited license to process, store, and analyze your data solely for the purpose of providing our services.
Platform Data: We collect and own data about platform usage, performance metrics, and system logs. This data may be used to improve our services, subject to our Privacy Policy.
Canadian Data Sovereignty: All data is stored and processed on Canadian infrastructure, subject to Canadian privacy laws including PIPEDA.
Governor AI, including all software, algorithms, designs, documentation, and related materials, is the exclusive property of Governor Technologies Inc. and is protected by Canadian and international intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our services without explicit written permission. Our trademarks, service marks, and logos may not be used without prior written consent.
Fees: Certain features of Governor AI require payment of fees. All fees are quoted in Canadian dollars (CAD) unless otherwise specified.
Billing: Subscription fees are billed in advance on a monthly or annual basis. Enterprise pricing is customized based on usage and requirements.
Refunds: Refunds are handled on a case-by-case basis. Annual subscriptions may be eligible for prorated refunds within 30 days of purchase.
Late Payment: Failure to pay fees when due may result in service suspension or termination.
Uptime Commitment: We commit to maintaining 99.9% uptime for Enterprise tier customers, calculated monthly. Credits will be issued for verified downtime exceeding this threshold.

Maintenance Windows: Scheduled maintenance will occur during off-peak hours with 48 hours advance notice.
To the maximum extent permitted by law, Governor Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:
Our total liability for any claims arising from or related to these Terms or our services shall not exceed the amount paid by you to Governor Technologies Inc. in the twelve (12) months preceding the claim.
High-Risk Activities: Governor AI is not designed for use in high-risk environments where failure could lead to death, personal injury, or environmental damage without appropriate safeguards and human oversight.
You agree to indemnify, defend, and hold harmless Governor Technologies Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the use of our services. This obligation survives termination of these Terms.
Exceptions: Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
By You: You may terminate your account at any time by contacting our support team or using the account cancellation feature.
By Us: We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or fail to pay required fees.
Effect of Termination: Upon termination, your right to use Governor AI ceases immediately. You may request a data export within 30 days of termination, after which your data will be permanently deleted.
Governing Law: These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.
Jurisdiction: Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
Dispute Resolution: Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
You acknowledge that Governor AI and related technical data may be subject to Canadian export control laws and regulations. You agree to comply with all applicable export and import laws and regulations.
We reserve the right to modify, suspend, or discontinue any aspect of Governor AI at any time with reasonable notice. We are not liable for any modification, suspension, or discontinuation of our services.
Notice: Material changes will be communicated via email or platform notification at least 30 days in advance.
Governor AI may integrate with or provide links to third-party services. We are not responsible for the content, privacy practices, or terms of service of third-party providers. Your use of third-party services is at your own risk.
Neither party shall be liable for failure to perform due to causes beyond reasonable control, including natural disasters, war, terrorism, riots, labor disputes, governmental actions, or internet service failures.
These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and Governor Technologies Inc. regarding your use of Governor AI.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
